Conversion Proposal

Nobias Media S.à r.l., offers to its bondholders the option to convert their existing position into the Notes issued by C Capital Corp., a limited company (Société anonyme), having its registered office at 14, rue Mathias Hardt, L-1717, Luxembourg, Grand Duchy of Luxembourg, registered with the Registre de commerce et des sociétés, Luxembourg (Luxembourg Trade and Companies Register) under number B133518 (https://c-capital-corp.com).

The conversion rate for the Notes bearing interest (coupon) at the fixed rate of 1.0% per annum payable semi-annually, registered in the books of Clearstream Frankfurt (DAKV) under ISIN number DE000A3LP1T8, maturing on 18 December 2033, will be as follows:

USD 1’200 Notes for one Note of the Company of par value of EUR 1’000 (the “Offer”).

We invite you to participate in the Offer for the Notes. If you wish to do so or require additional information about the Notes, please submit your detailed inquiries to the Company (ir@nobias.group).

We would also like to draw your attention that the deadline to receive your conversion proposal offer for is set at January 31st, 2025, while the Company will confirm its result by February 3rd, 2025. The conversion Offer will take place if at least 20% of the existing bondholders of the Company agree to the proposed terms, and in case of a positive decision of the bondholders, you will have to deliver your bonds for the conversion no later than February 14th, 2025.
